The Platform is operated by Flux Medical Limited, trading as Lazomis QI (“we”, “us”, “our”).
By accessing or using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Platform.

Is not a medical device

Is not an emergency service
All clinical decisions remain solely the responsibility of the treating clinician.
3. Eligibility and Professional Use
The Platform is intended for:

Registered healthcare professionals

Healthcare organisations
-
NHS and independent sector providers
-
Approved trainees participating in QI projects
By registering, you confirm that:

You are legally entitled to use the Platform

You will use it only for lawful professional purposes

You understand it does not replace clinical judgement

You will comply with applicable professional regulatory standards
We reserve the right to suspend or terminate accounts where misuse is suspected.
4. Accounts and Security
Users must:

Maintain confidentiality of login credentials

Notify us of suspected unauthorised access
You are responsible for the activity conducted under your account.
5. Clinical Responsibility and Disclaimer
The Platform generates structured outputs based on user-entered data.
You acknowledge that:

They must not be used as sole basis for clinical decisions

Independent professional judgement is required at all times
Flux Medical Limited accepts no liability for clinical decisions taken by users.
6. Data Ownership, Licence and Commercial Rights
6.1 Ownership of Submitted Data
Unless otherwise agreed in writing:

Users retain ownership of the raw data they submit.

Healthcare organisations retain ownership of institutional data entered by their staff.

Flux Medical Limited does not claim ownership of identifiable patient data.
Users are responsible for ensuring lawful authority to input data.
6.2 Licence Granted to Flux Medical Limited
By submitting data to the Platform, you grant Flux Medical Limited a:

Submitted data for the purposes described below.
This licence applies only to the extent permitted by applicable law.
6.3 Anonymised and Aggregated Use
Flux Medical Limited may use submitted data in anonymised and/or aggregated form to:

Develop and refine QI tools

Develop benchmarking frameworks
-
Produce national or regional analytical datasets

Generate statistical models
-
Improve algorithms and scoring systems

Produce dashboards and comparative analytics
-
Publish reports, research, or educational materials

Develop commercial products and services
No identifiable patient data will be published.
No organisation or clinician will be identified without explicit written consent.
6.4 Derived Data and Platform Intellectual Property
All rights in the following are owned exclusively by Flux Medical Limited:

De-identified national benchmarking datasets

Analytical outputs generated by the Platform

Statistical models
-
Algorithms
-
Scoring systems

Risk stratification tools

Machine learning models

Derived data structures

Software code and architecture
These constitute proprietary intellectual property, even where developed using submitted data.
Users acknowledge that:

They have no ownership rights in derived datasets or algorithms

They may not extract, reverse engineer, or commercially exploit Platform-derived analytics

They may use outputs internally for governance and improvement purposes
6.5 Data Protection Roles
Unless otherwise agreed in writing:

The user or healthcare organisation is the Data Controller.

Flux Medical Limited acts as Data Processor.
Users confirm that:

Appropriate audit/QI approvals have been obtained.

No identifiable patient data is uploaded without lawful basis.

They comply with UK GDPR and Data Protection Act 2018.
7. Research and Publication
Flux Medical Limited may use anonymised and aggregated data for:

Academic publication

Conference presentation

National quality improvement reporting

Commercial benchmarking reports
Where collaborative publication occurs:

Contributing organisations may be acknowledged by agreement.

Authorship will be agreed separately in writing.
8. Subscription and Fees

These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
